Terms of UseAGREEMENT AND SERVICES Sudoku Puzzles to Print, referred to herein as Sudoku Puzzles to Print ("Sudoku Puzzles to Print"), is composed of the Sudoku Puzzles to Print Website, and any other Website, product, or service owned or operated by Sudoku Puzzles to Print. If there are any inconsistencies between the game specific terms and these terms, Sudoku Puzzles to Print will be the final and sole arbiter of any such inconsistencies. INDEMNIFICATION Upon request by Sudoku Puzzles to Print, you agree to defend, indemnify and hold harmless Sudoku Puzzles to Print and its affiliates, subsidiaries, employees, contractors, officers, directors, vendors, and content providers from all liabilities, claims and expenses, including attorneys' fees, that arise from a breach of these Terms of Service for which you are responsible or in connection with your transmission of any Content on Sudoku Puzzles to Print. Sudoku Puzzles to Print reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that event, you shall have no further obligation to provide indemnification to Sudoku Puzzles to Print in that matter. This Section shall survive termination of this Agreement. OTHER LEGAL TERMS You agree that these Terms of Service, including the Game Club and Affiliate Programs, are not intended to confer and do not confer any rights or remedies upon any person other than the parties to this Agreement. You also understand and agree that the Sudoku Puzzles to Print Terms of Service and the Sudoku Puzzles to Print Privacy Policy and the End User License Agreement(s) and subsequent Sudoku Puzzles to Print'S enforcement of those policies, are not intended to confer, and do not confer, any rights or remedies upon any person. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. This Agreement contains the entire understanding and supersedes all prior understanding of the parties hereto relating to the subject matter hereof, and cannot be changed or terminated orally. If any provision of this Agreement is found to be illegal or unenforceable, the Agreement will be deemed curtailed to the extent necessary to make it legal and enforceable and will remain, as modified, in full force and effect. JURISDICTION The laws of the State of Pennsylvania, excluding its conflicts-of-law rules, govern this Agreement and your use of your Accounts, the Services and Memberships. You expressly agree that exclusive jurisdiction for any claim or dispute with Sudoku Puzzles to Print or relating in any way to your Accounts, the Services and Memberships or your use of Sudoku Puzzles to Print resides in the courts of Washington, county of King and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of Washington in connection with any such dispute including any claim involving Sudoku Puzzles to Print or its affiliates, subsidiaries, employees, contractors, officers, directors, vendors and content providers. |
